1The Borrower may by giving to the Bank written notice of not less than seven (7) Business Days (or such shorter period as the Bank may agree) prior to the date of intended prepayment and upon paying all interest accrued in respect of the amount to be prepaid up to the date of prepayment, the Bank’s break funding costs (if any) and all charges and other sums then due and payable under Facility Documents but without having to pay any prepayment fee, premium or penalty, prepay in advance the whole or any part of the principal sum owing under the TL Facility in minimum amount of United States Dollars One Hundred Thousand (US$100,000.00) and in integral multiples of United States Dollars Ten Thousand (US$10,000.00) Provided that no break funding costs shall be payable by the Borrower if the prepayment is made on an Interest Payment Date. 2Notice of intended prepayment once having been given by the Borrower shall be irrevocable unless the Bank allows otherwise and it shall be obligatory on the Borrower to make the prepayment in accordance with the notice. 3No partial prepayment of any sum under the TL Facility shall relieve the Borrower of its obligations under this Agreement except to the extent of the amount prepaid. 4The Borrower shall not repay or prepay to the Bank the TL Drawing otherwise than in accordance with the provisions of this Agreement. 5Subject to the Bank's discretion to permit otherwise, no amount of the TL Facility prepaid may be re-drawn, re-borrowed or exchanged. 6In the event that the Borrower sells the entire Project or Property or immediately after the last of the Units comprised in the Property has been sold and 100% of the Sale Proceeds for all the Units have been received by the Borrower, the Borrower shall prepay without any prepayment fee in advance the whole of the principal sum owing under the TL Facility together with all interest accrued in respect of the amount to be prepaid up to the date of prepayment, the Bank’s break funding costs (if any) and all charges and other sums then due and payable under Facility Documents Provided that no break funding costs shall be payable by the Borrower if the prepayment is made on an Interest Payment Date. 譯文： 提前償還定期貸款 1借款人可以在不少于預(yù)定提前償還日之前的七個營業(yè)日（或貸款行可能同意的更短時間），并支付了擬提前償還金額在提前償還之日截止的所有應(yīng)計利息、貸款行的盈虧費用（如有的話）和在貸款文件下到期應(yīng)付的一切收費和其它款項，并不必支付任何提前償還費、貼水或罰金的情況下，向借款行發(fā)去書面通知，提前償還在定期貸款下欠付的、數(shù)額最少為10萬美元、為10萬美元整數(shù)倍的本金金額的全部或者任何部分，只要提前償還是在一個利息期日作出，借款人不必支付盈虧費用。 2預(yù)定的提前償還通知一經(jīng)借款人發(fā)出，就不可撤消，除非是貸款行另有準(zhǔn)許。借款人必須按照該通知提前償還貸款。 3除了提前償還的金額外，對定期貸款下任何款項的部分提前償還不得免除借款人在本協(xié)議下應(yīng)履行的義務(wù)。 4除按照本協(xié)議的規(guī)定外，借款人不得償還或提前償還提取的定期貸款。 5按照貸款行的另行許可決定，提前償還的定期貸款的任何數(shù)額不得再次提取、再借貸或匯兌。 6如果借款人出售了整個項目或物業(yè)，或者緊接著物業(yè)中包含的最后一個單元被銷售出去，且借款人已經(jīng)收到全部單元100%的銷售收益，借款人應(yīng)不用支付任何提前償還費用而提前支付定期貸款下的全部本金金額，加上截止于提前償還之日就提前償還的金額而應(yīng)計的全部累計利息、貸款人的盈虧費用（如有的話）和在貸款文件下到期應(yīng)付的一切收費和其它款項，只要提前償還是在一個利息期日作出，借款人不必支付盈虧費用。 如果您有金融翻譯方面的需求，可以隨時與我們的在線客服人員聯(lián)系，點擊在線咨詢，也可以撥打我們的客服熱線：010-64809262
